<p>ROCHESTER, N.Y., March 5 /PRNewswire-FirstCall/ -- Total Identity Corp. =
(OTC Bulletin Board: TIDC) ("TIC") announced today that it has reached a se=
ttlement with Robert J. David ("Seller") regarding the purchase of Total Id=
entity Systems, Inc. ("TIS")
(<a href=3D"http://click1.upper-web-side.com/sp/t.pl?id=3D18391:52119234">=
www.totalidentity.com</a>) and that it has cancelled its previously announc=
ed arbitration. The settlement reduces the purchase price from $1.8 million=
to $1.1 million, saving TIC $700,000 in cash. </p>
<p>TIC has been able to make changes to the original agreements that favor =
the shareholders of TIC. The balance owed for the purchase of TIS is $875,0=
00, of which $475,000 will be invested into TIS to be used to pay down shor=
t-term loans and the working credit line. The remaining $400,000, which is =
payable to the Seller, is structured in quarterly payments to begin January=
2005. TIC also re-wrote the lease for 10 years at the same rate with no in=
crease in rent, but TIC has the right to purchase the building at fair mark=
et value to be determined by three independent appraisers at the end of fiv=
e years and removed the $100,000 building improvement clause to trigger the=
right to purchase. </p>
<p>TIC has an obligation to invest only $475,000 to cover the purchase of t=
he company. The quarterly payments to the Seller will come from cash flow, =
which basically allows TIC to purchase a company that had revenues of over =
$9 million for fiscal year 2003 and was profitable for a total of $700,000 =
in cash. </p>
<p>TIC originally purchased TIS for $1.8 million on October 13, 2003, at wh=
ich time TIC paid $150,000 and received a credit of $75,000 for legal and a=
ccounting expenses, leaving a balance owed of $775,000 to be paid in instal=
lments with the final payment to be made December 31, 2003. TIC discovered =
during its audit of TIS material misrepresentations and inaccuracies and in=
formed the Seller that TIC was going to pursue its rights under the Agreeme=
nt to protect the TIC shareholders. TIC filed an 8K on December 9, 2003 ann=
ouncing that it was filing an arbitration case against the Seller to seek d=
amages from the misrepresentations on behalf of the shareholders. TIC immed=
iately ceased making additional payment to the Seller and began working on =
reducing the purchase price to offset the differences uncovered by the audi=
tors. </p>
