Looks to me like a Virginia Ctenucha (Ctenucha virginica) caterpillar.  They=
 are among a few species that seem to go out and about on warm winter days. =
 If you go to this web page, you'll see that the earlier instar of these are=
 dark.  The last instar is the yellow and white one.  There are good photos o=
f that on this webpage.
